Recent updates to Malta’s Company Service Providers (CSP) Act – introduced through Act X of 2025 – bring essential changes that directly impact individuals providing directorship and company secretarial services. These revisions form part of a broader regulatory initiative launched by the Malta Financial Services Authority (MFSA) in 2024 to introduce greater proportionality within the CSP framework while maintaining Malta’s strong alignment with international standards.
A couple of the main changes introduced by such an Act are the following
I. Registration Requirement
A new registration requirement has been introduced for individuals providing directorship and/or company secretarial services as part of their business in a company or holding equivalent positions in other legal entities. Such individuals, referred to as Limited Company Service Providers in Malta’s CSP Act, can hold up to ten (10) Involvements.
II. Notification Requirement
A new notification requirement has also been introduced for individuals providing directorship and/or company secretary services in a company or holding a similar position in other legal entities without holding themselves out as providing such services. Such individuals, called Restricted Company Service Providers in Malta’s CSP Act, can hold up to five (5) Involvements with a maximum of two (2) groups.
In this regard, a transitory period has been introduced—individuals who are to be considered Restricted Company Services Providers must submit a notification form to the MFSA by 16 July 2025 at the latest.
By introducing tailored registration and notification requirements for individuals with limited involvement in company services, the updated MFSA rules effectively close a previous regulatory gap, without placing unnecessary burdens on such individuals. This balanced approach ensures continued regulatory oversight while fostering greater accessibility and flexibility for professionals in the sector.
